Terms & Conditions

General Agreements:

  • 1a) These T&Cs apply to the purchase of goods supplied by AKL Sandpaper Supplies Ltd, registered in England & Wales under number 15225067 and as detailed in our quotation or via our website or any other promotional activity.
  • 1b) These terms and conditions will be deemed to have been accepted by you (the buyer) when purchases are made or by delivery of goods, (whichever happens earlier) and will constitute the entire agreement between us (The supplier) and you (The buyer).
  • 1c) These terms and conditions apply to the purchase and sale of any goods between the supplier and the buyer, to the exclusion of any other terms and conditions that you may try and impose or incorporate, or which are implied by trade, custom, practice or course of dealing.

Interpretations:

  • 2a) A business day means any day other than Saturday, Sunday or official Bank Holidays.
  • 2b) The supplier means AKL Sandpaper Supplies Ltd.
  • 2c) The buyer means whoever made the purchase and/or payment of the goods.

Goods:

  • 3a) The description of the goods is set out in either our quotation, website, or other promotional literature. In accepting either of the forenamed description methods you acknowledge that you have not relied upon any statement, promise or other representation of the goods. The description of goods laid out in any of our sales documents is intended as a guide only.
  • 3b) We are entitled to make any changes to product descriptions and/or specifications which may be required to conform to any specific safety or other statutory or regulatory requirement.

Price:

  • 4a) The price of goods is set out in either our quotation, website, or other sales document at the time of your order being placed.
  • 4b) Quotations are valid for a 30-day period and may be subject to change after this period.
  • 4c) We reserve the right to increase prices at any time following circumstances outside of our control, including but not limited to, material costs, labour costs, exchange rate fluctuation, duties and delivery charges.
  • 4d) Annual price increase may be applied subject to an agreed notification period, our standard notification period for price annual price increase is 30 days.
  • 4e) You may be entitled to a discount or promotional offer entirely at our discretion.
  • 4f) All prices quoted are exclusive of VAT (website prices are including VAT)
  • 4g) All prices quoted are exclusive of any packaging, delivery, or courier costs.

Cancellation & Returns:

  • 5a) Cancellations must be made in writing prior to goods being despatched.
  • 5b) Cancellation after despatch will result in collection and restocking charges.
  • 5c) Restocking charges are nominally 25% of order value.
  • 5d) Returns will only be accepted if goods are received in unopened and undamaged original packaging.
  • 5e) Returned goods not conforming to the above will be returned to the buyer and invoiced for in full including additional delivery charges.

Payment:

  • 6a) We will invoice you for the goods either:
    • On, or at any time after delivery has been made.
    • At an agreed time (end of month) for contractual customers.
    • When the goods are to be collected but you fail to collect following notification from us that the goods are ready.
    • In advance of delivery for pro-forma purchases.
  • 6b) Payment is due 30 days after the invoice date unless other specific agreements are in place.
  • 6C) A late payment charge equating to 10% of the invoice value becomes payable once your due date for payment has expired.
  • 6d) A daily interest charge of 1.0% of the invoice value will apply following the 90th day anniversary of the invoice date.

Title & Risk:

  • 7a) The title to the goods will remain with the supplier until payment is made in full.
  • 7b) The title of risk shall remain with the supplier until delivery has been made.
  • 7c) All goods must be stored in the correct manner and subject to any industry safety guidelines and insured against all risks from the date of delivery.
  • 7d) As long as the goods have not been re-sold or irreversibly incorporated into another product, we can at any time ask you to deliver the goods, and if you fail to do so, enter any of your premises or third-party locations where the goods are stored in order to recover them.

Inspection & Acceptance:

  • 8a) Goods must be inspected upon delivery or collection.
  • 8b) If you identify any damage, Incorrect goods, or shortages you must inform us within 3 working days of delivery and provide details.
  • 8c) Other than by agreement, we will only accept returned goods if we are satisfied the return is justified and if necessary, an inspection has been made.
  • 8d) Subject to your compliance with this clause and/or our agreement, you may return the goods and we will as appropriate, repair, replace or refund the goods.
  • 8e) Goods will be non-returnable if damage occurs once the title of risk has passed.
  • 8f) Acceptance of the goods will be deemed following a 5-day period after delivery.

Termination:
We can terminate the sale of goods under any contract where –

  • 9a) You commit a material breach of your obligations under these terms and conditions.
  • 9b) You are, or you become, or we believe you are about to become the subject of a bankruptcy order or take advantage of any other statutory provision for the relief of insolvent debtors.
  • 9c) You enter into a voluntary agreement under Part 1 of the Insolvency Act 1986, or any other scheme or arrangement is made with your creditors.

Limitations of Liability:

  • 10a) Our liability under the contract, in breach of statutory duty, and in tort, misrepresentations or otherwise will be limited to this clause.
  • 10b) Subject to the clause above on Inspection and acceptance and risk and title, all warranties, conditions, and other terms implied by statute or common law are excluded to the fullest extent permitted by law.
  • 10c) If we do not deliver the goods, our liability is limited, subject to the clause below, to the cost and expenses incurred by you in obtaining replacement goods of similar description and quantity less the price of the goods.
  • 11d) Our total liability will not, in any circumstance, exceed the total amount of the price payable by the buyer.
  • 11e) We will not be liable in connection with the goods for –
    • Any indirect, special, or consequential loss, damage, costs or expenses and
    • Any loss of profit, loss of production, loss of business, loss of data, loss of goodwill or other third-party claims and
    • Any failure to perform any of our obligations if such delay or failure is due to any cause beyond our reasonable control and
    • Any losses caused directly or indirectly by any failure or breach by you in relation to your obligations and
    • Any loss in relation to the choice of the goods and how they will meet your purpose or the use by you of the goods supplied.
  • 11f) The exclusion of liability contained within this clause will not exclude or limit our liability for death or personal injury caused by our negligence, or for any matter for which it would be illegal for us to exclude or limit our liability and for fraud or fraudulent misrepresentation.

Law & Jurisdiction:

  • 12a) This agreement shall be governed by and interpreted according to the law of England & Wales and all disputes arising under the agreement shall be subject to the exclusive jurisdiction of the English and Welsh courts.
